These Terms of Service (“Terms”) govern your access to and use of the Uisato Studio website, apps, and services (collectively, the “Service”). The Service is operated by Uisato Studio (“Uisato Studio”, “we”, “us”, or “our”).

PLEASE READ THESE TERMS CAREFULLY. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2) THE SERVICE

Uisato Studio provides tools and workflows for audiovisual creators, including AI-assisted generation and processing features. The Service may integrate third-party AI model providers and infrastructure partners (the “Third-Party Providers”).

3) ELIGIBILITY

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and have legal capacity to enter into these Terms.

4) ACCOUNTS & SECURITY

4.1 Account Creation

You may create an account using email/password and/or third-party sign-in (e.g., Google).

4.2 Accurate Information

You agree to provide accurate account information and keep it updated.

4.3 Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@uisatostudio.ai if you suspect unauthorized access.

5) SUBSCRIPTIONS, CREDITS, AND PAYMENTS

5.1 Plans

The Service may offer subscriptions and credit top-ups. Some features require credits.

5.2 Credit Expiration

  • Subscription-included credits expire at the end of the applicable subscription period.
  • Top-up credits expire 12 months after purchase (unless otherwise stated at purchase).

5.3 Billing & Processor

Payments are processed by Stripe or another payment processor. We do not store full payment card details.

5.4 Auto-Renewal & Cancellation

Subscriptions may auto-renew unless canceled. You may cancel anytime; your subscription remains active until the end of the current billing period.

5.5 No Refunds

Due to the nature of on-demand digital and compute-based services (including third-party compute and model costs), ALL FEES ARE NON-REFUNDABLE and credits are non-refundable, except where required by applicable law.

5.6 Chargebacks

Chargebacks create significant risk and cost for early-stage compute services. Please contact support@uisatostudio.ai before filing a chargeback so we can try to resolve the issue. We may suspend or restrict accounts associated with chargebacks or suspected fraud while we investigate.

5.7 EU/UK CONSUMERS — RIGHT OF WITHDRAWAL (DIGITAL CONTENT/SERVICES)

If you are a consumer located in the European Economic Area (EEA) or the United Kingdom, you may have a statutory right to withdraw from certain distance contracts within 14 days.

However, where your purchase relates to digital content or digital services that are delivered/performed immediately (including subscriptions, credits, or other on-demand compute-based features), you expressly request immediate performance. You acknowledge that once performance begins, you may lose (or the law may limit) your right of withdrawal for that purchase to the extent permitted by applicable law.

This section does not affect any rights that cannot be waived under mandatory consumer protection laws.

6) BETA / EXPERIMENTAL FEATURES

The Service (or parts of it) may be “beta,” “experimental,” or “preview.” Outputs may be unpredictable, incomplete, or fail. Features may change or be removed at any time. You use the Service at your own risk.

7) USER CONTENT & OWNERSHIP

7.1 Definition

“User Content” includes: uploads (images/video/audio), prompts, inputs, and other materials you provide, as well as generated outputs you receive through the Service.

7.2 Your Ownership

As between you and Uisato Studio, you retain ownership of your User Content, including your uploads and generated outputs, subject to these Terms and any rights of third parties.

7.3 Our Limited License to Operate the Service

You grant Uisato Studio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your User Content solely to:

  • (a) operate and provide the Service;
  • (b) maintain, secure, and improve the Service;
  • (c) comply with law, enforce these Terms, and prevent abuse.

This license continues until you delete the applicable User Content or your account, except to the extent we must retain copies for legal, security, backup, or operational purposes.

7.4 De-Identified / Aggregated Derivatives

We may generate de-identified and/or aggregated information derived from User Content (including statistical patterns derived from prompts and outputs once de-identified). We may use, share, license, or otherwise commercialize such de-identified/aggregated information for lawful business purposes, and we will not attempt to re-identify it.

8) THIRD-PARTY PROVIDERS (AI MODELS, INFRASTRUCTURE)

8.1 Third-Party Processing

Using the Service may require sending your User Content to Third-Party Providers (e.g., AI model providers, hosting, storage) to generate outputs or deliver features.

8.2 Provider Terms

Third-Party Providers may have their own terms and privacy policies that govern how they process data (including potential use for model improvement). You are responsible for reviewing and accepting those terms where applicable.

8.3 No Control

We do not control Third-Party Providers and are not responsible for their services, outages, refusals to process, or policy enforcement.

9) ACCEPTABLE USE

You agree not to use the Service to:

  • violate any law or regulation;
  • infringe or misappropriate intellectual property rights (copyright, trademark, etc.);
  • generate, upload, or distribute illegal content;
  • harass, threaten, or exploit others;
  • attempt to bypass safety systems, access restricted areas, scrape the Service, reverse engineer, or interfere with operations;
  • introduce malware or attempt to compromise security.

We may remove content, suspend, or terminate accounts that violate these rules.

10) INTELLECTUAL PROPERTY COMPLAINTS

If you believe content on the Service infringes your rights, contact support@uisatostudio.ai with details sufficient to identify the allegedly infringing material and your claim. We may remove content or restrict access as appropriate.

11) STORAGE IS NOT GUARANTEED

Uisato Studio is not a file storage service. We have no obligation to store any User Content. We may delete User Content at any time (for example, to manage storage, comply with law, or enforce policies). You are responsible for keeping your own backups of important materials.

12) DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, UISATO STUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

GENERATED OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR UNSUITABLE FOR ANY PARTICULAR PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF OUTPUTS AND FOR ENSURING YOU HAVE ALL NECESSARY RIGHTS AND PERMISSIONS FOR ANY COMMERCIAL USE.

13) LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • UISATO STUDIO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS; LOSS OF DATA; OR BUSINESS INTERRUPTION.
  • UISATO STUDIO WILL NOT BE LIABLE FOR: (a) DATA LOSS OR DELETION, (b) SERVICE DOWNTIME, (c) MISSED DEADLINES, (d) THIRD-PARTY PROVIDER FAILURES OR SUSPENSIONS, OR (e) CLAIMS ARISING FROM YOUR USE OF OUTPUTS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO UISATO STUDIO FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $50, WHICHEVER IS GREATER), UNLESS A DIFFERENT LIMIT IS REQUIRED BY APPLICABLE LAW.

14) INDEMNIFICATION

You agree to indemnify and hold harmless Uisato Studio from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your User Content, (b) your misuse of the Service, or (c) your violation of these Terms or applicable law.

15) TERMINATION

You may stop using the Service at any time. We may suspend or terminate your access immediately if we believe you violated these Terms, created risk, or engaged in fraud/abuse. Upon termination, your right to use the Service ends, and credits may be forfeited (except where prohibited by law).

16) CHANGES TO THE TERMS

We may update these Terms from time to time. The most current version will be posted in the Service. By continuing to use the Service after changes take effect, you agree to the updated Terms.

17) GOVERNING LAW & VENUE

These Terms are governed by the laws of Argentina. Any dispute will be brought in the competent courts of the Autonomous City of Buenos Aires (CABA), Argentina, unless mandatory consumer protections require otherwise.
